“Small Business of the Match” TERMS AND CONDITIONS
These terms and conditions (“Terms and Conditions”) apply to the ‘Small Business of the Match’ (“Programme”) organised by Vistaprint B.V., located at Hudsonweg 8, 5928 Venlo, Netherlands (the “Promoter”) and in collaboration with the Liverpool Football Club & Athletic Grounds Limited, located at PO Box 1959, Liverpool, L69 3JL (“LFC”). By participating, participants (“Participant(s)/you”) agree to be bound by these Terms and Conditions. Participants who have any questions regarding the Programme can email [email protected]. No purchase is necessary to enter or win, however Participants will need internet access and a valid email account to be able to participate.
- 1. ELIGIBILITY 1.1 All small business owners who (i) are legal residents in the United Kingdom, (ii) have their headquarters in United Kingdom, (iii) have been registered for a minimum of one (1) year, and (iv) have small business with ten (10) employees or less, can take part in the Programme. This includes, in particular, self-employed individuals, micro businesses, small businesses, freelancers and founders who carry out their business activities full-time. Co-owners of such companies must prove the consent of all owners.
- 1.2 The Programme is open to people eighteen (18) years or older.
- 1.3 Employees, contractors, officers and directors of the Promoter and LFC, and their respective subsidiaries, affiliates, and parent companies (collectively, “Affiliates”), employees of agencies acting on behalf of the Promoter or who were involved in the creation, organization or administration of the Programme, those within the Jury, and members of the immediate family or household of any of the foregoing individuals are not eligible to participate.
- 2. PROGRAMME PERIOD
- 2.1 The Programme begins on 23d June 2023 at 12:00 AM GMT and ends at the earlier of: (i) 23d July 2023 at 11:59 pm GMT, or (ii) Promoter’s receipt of fifty thousand (10,000) entries (“Programme Period”). All electronic entry forms that were sent prior to the end of the Programme Period will be considered for the Programme. The electronically recorded receipt of the corresponding data record is used for checking and meeting deadlines. Participation by post is excluded.
- 2.2 Promoter reserves the right, in its sole discretion, to cancel, suspend, amend or extend the Programme at any time without notice.
- 2.3 Selection for participation in the Programme will be made after the Programme Period.
- 3. Requirements for Participation
- 3.1 To enter the Programme, Participants may access the Programme website located at https://www.vistaprint.co.uk/hub/sbotm during the Programme Period, complete and submit their online application and contact details, and answer questions relevant to the Programme. Participants may be asked to send further information and explanations by email or telephone. “Content” shall mean all content submitted and communicated by the Participants as part of the Programme including, but not limited to, information such as logos, trademarks, photos, graphics, videos, texts, comments or information about places and people.
- 3.2 This Programme is skill based. Each Participant´s chance of winning depends on the quality of the entry and how many Participants take part in the Programme.
- 3.3 Each Participant may only enter the Programme once. Multiple entries by the same person will not be accepted. If more than one entry is received from a Participant during the Programme Period, only the first entry will be included and later entries will be disqualified.
- 3.4 No refund may be claimed for expenses incurred in participating in the Programme.
- 3.5 You may be asked to consent to receive promotional e-mails and reminder e-mails from the Promoter. Consenting to receive promotional or reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Programme, and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy of the Promoter´s Website and you may opt out of receiving these e-mails at any time.
- 3.6 By completing and submitting the Content requested in the online application for participation in the Programme, you consent to the collection, use and disclosure of your Content for the purposes of this Programme. Any personal data relating to the Participants will be used solely for the purpose of administering the Programme and be in accordance with the applicable data protection laws and regulations, and Promoter´s Privacy and Cookie policy. Please read the Privacy and Cookie Policy for more information about how your personal data is processed or how to contact Promoter when you wish to improve, complete or delete any such data at your request. If necessary, the Promoter may disclose your Content to competent authorities in compliance with statutory obligations, Promotor’s Affiliates, and any other third parties that are responsible for the organization of the Programme.
- 3.7 Recipients (as defined below) agree that their first and last names as well as the name of the company in connection with the Programme, its handling or the presentation of the Participants may be published by the Promoter in online and offline media.
- 4. PRIZE
- 4.1 There will be 15 prizes awarded that shall each consist of LED advertisement during a LFC match at Anfield, match day tickets to such LFC match, a Vista gifting experience (consisting of materials and products available on VistaPrint’s website) worth up to a maximum of five hundred pound sterling (£500), LFC merchandise (to be determined in LFC’s sole discretion), and stadium tour of Anfield (collectively, the “Prize”). Delivery costs and/or certain products may be excluded. Depending on the location of the Recipient, Promoter may provide travel to and from the aforementioned LFC match and one (1) night’s stay at a hotel (as determined, in each case, in Promoter’s sole discretion). If your order amount is less than the maximum amount indicated for the Vista gifting experience, you will not be able to receive the difference in cash, by refund or customer credit.
- 4.2 The Prize will be allocated to the winners selected from the Participants by the Jury (each, a “Recipient”). Each Recipient will be able to bring one (1) guest.
- 4.3 The Prize is non-transferable, non-refundable, and cannot be exchanged for any cash alternatives in whole or in part. Promoter reserves the right to provide a substitute prize of similar value.
- 4.4 The Recipients are advised that tax implications may arise from their Prize winnings and Recipients should seek independent financial advice prior to acceptance of the Prize. Recipients will be solely responsible for all taxes and/or any other costs, expenses, or requirements related to the Prize.
- 5. SELECTION AND NOTIFICATION OF WINNER
- 5.1 All entries will be reviewed and judged by an independent panel composed of four judges (the “Jury”) in its sole discretion. The Jury makes subjective decisions based on their professional assessment of several factors including, but not limited to:
- a) Creative and unique stories from passionate small business owners in need; and
- b) Strong human interest stories from new business owners in a diverse range of industries and locales who can successfully articulate their past business challenges and share why they (or their nominated business) are a good candidate for the Programme.
- 5.2 Chance plays no part in determining any Recipients.
- 5.3 For the selection of Recipients, the Jury can obtain further information from Participants without this giving rise to a claim to the Prize. After viewing all entries, each Jury member can nominate a Participant for the Prize. The election of the Recipients is based on the majority principle.
- 5.4 The decision of the Jury is final and binding, and no correspondence will be entered into.
- 5.5 If a Participant has been chosen as a Recipient, such Recipient will be promptly informed of winning the Prize by 4th August 2023 via one of the contact channels provided and can be asked for confirmations on their entry and eligibility as well as additional information necessary for the Prize.
- 5.6 If a Recipient does not meet all eligibility requirements, has not complied with these Terms and Conditions, cannot be contacted, does not respond within forty-eight (48) hours from the time Promoter first tries to notify such Recipient, and/or the Prize notification is returned as undeliverable, such Recipient forfeits all rights to claim or receive the Prize and an alternate Recipient will be selected using the methods described above.
- 5.7 Recipients may be required to sign (where permitted by law) an affidavit of eligibility, a publicity release and/or a liability release, or the Prize may be forfeited, and an alternative Recipient may be chosen.
- 5.8 Acceptance of the Prize constitutes permission for the Promoter, LFC and their respective Affiliates to use, republish, edit, distribute, make publically available, broadcast and/or reproduce the Recipient’s Content for advertising and promotional purposes worldwide in any media without limitation and without additional compensation unless prohibited by law.
- 5.9 For the surnames of Recipients or for a copy of these Terms and Conditions, please send a stamped addressed envelope together with a written request referencing this Programme (enclosing a self-addressed envelope) to the Promoter´s address indicated above.
- 6. Rules of conduct and responsibility for content
- 6.1 The Promoter and LFC are not responsible for the behavior of, or the Content published by, the Participants in the context of the Programme and do not adopt this as their own. The Promoter reserves all rights to disqualify Participants if their conduct is contrary to the spirit or intention of the Programme.
- 6.2 The Participants must ensure that they are entitled to the necessary rights of use for the Content and that the duplication, making available to the public or editing of the Content by the Promoter, LFC and their Affiliates does not violate legal regulations, morality and/or the rights of third parties.
- 6.3 If claims are made against the Promoter or LFC because of inadmissible Content or other legal violations for which the Participant is responsible, the Participant releases the Promoter and/or LFC upon first request and supports the Promoter and/or LFC in defending against the claims. The exemption includes the necessary legal costs.
- 7. Limitation of Liability
- 7.1 The Promoter and LFC accept no responsibility for entries that are lost, late, illegible, misdirected, or incomplete.
- 7.2 The Promoter, LFC, and their respective Affiliates exclude liability to the fullest extent permitted by law for any losses, damages or injuries caused to the Recipient, Participants and/or third parties arising out of the Programme, Prize or usage thereof.
- 7.3 By entering the Programme, each Participant agrees to release and hold harmless the Promoter, LFC and their respective Affiliates and its and their respective parents, shareholders, directors, officers, employees, contractors, representatives, agents, and advisors (“Programme Entities”), against any and all claims, losses, rights, liabilities and damages, and actions of any kind arising out of their participation in the Programme and/or the acceptance and use of any Prize. The foregoing release includes, but is not limited to, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy. Under no circumstances shall any of the Programme Entities have any liability or responsibility for: (i) incorrect or inaccurate entry information, or faulty, failed, garbled or jumbled electronic data transmissions; (ii) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the Contest; (iii) inaccessibility or unavailability of the Internet or a Programme site or any combination thereof; (iv) any injury or damage to a Participant´s or to any other person’s computer, tablet, mobile device or other electronic device that may be related to or result from any attempt to participate in the Programme or download any materials in the Programme; or (v) any typographical error or other error in these Terms and Conditions or in any other communication relating to the Programme.
- 8. Miscellaneous
- 8.1 Should any of these Terms and Conditions be or become invalid, this shall not affect the validity of the remaining Terms and Conditions. The Programme is governed exclusively by and interpreted in accordance with the laws of the Netherlands, without giving effect to its conflicts of laws principles, and are subject to the exclusive jurisdiction of the courts in the Netherlands for the resolution of any dispute arising in relation to the Programme, these Terms and Conditions or any Prize won.
